01Acceptance
By accessing the NeuraPick Robotics website (neurapickrobotics.com) or the operator console, you agree to be bound by these Terms of Service (“Terms”). If you do not agree, please do not use the site or services.
These Terms supplement — but do not replace — any signed pilot agreement, Master Services Agreement, or Order Form between NeuraPick Robotics, Inc. and a customer. In the event of conflict, the signed agreement controls.
02Use of the website
The website is provided for informational and lead-generation purposes. You may view, download, and print content for personal, non-commercial use, provided you retain all proprietary notices. You may not scrape, mirror, or republish the site without our prior written consent.
03Console accounts
Access to the operator console is restricted to authorized users at customer organizations. You are responsible for:
- maintaining the confidentiality of your credentials;
- all activity that occurs under your account;
- promptly notifying us of any suspected unauthorized access via security@neurapickrobotics.com.
We may suspend or terminate accounts that violate these Terms or that pose a risk to the integrity of the platform or to the safety of operators in the field.
04Field trials & pilots
Field trials of EVE-01 and successor robots are governed by a separate Pilot Agreement signed by both parties. That agreement covers hardware shipment, on-site engineering support, performance targets, data ownership, and the yield-uplift commitment referenced on the marketing site. Nothing on this website creates a binding commitment by NeuraPick to deploy a robot at your facility.
05Hardware & safety
EVE-01 is industrial automation equipment intended for use by trained operators in a controlled greenhouse environment. By accepting delivery, the customer agrees to:
- maintain the physical e-stop and ELRS manual-override hardware in working order at all times during operation;
- complete NeuraPick’s operator-training program before unsupervised use;
- follow applicable local workplace-safety regulations, including required signage and exclusion-zone procedures during robot operation;
- report incidents to NeuraPick within 24 hours.
Tampering with safety-critical hardware (e-stop circuit, motor controllers, perception cameras) voids the warranty and shifts all liability to the operator.
06Intellectual property
All content on this website, the console software, robot firmware, machine-learning model weights, and the EVE-01 industrial design are the intellectual property of NeuraPick Robotics, Inc. or its licensors. No license is granted to copy, modify, distribute, decompile, or reverse-engineer any of the foregoing except as expressly authorized in writing or as required by law.
Customer data — including agronomy logs, treatment records, and yield data — remains the property of the customer. See our Privacy Policy.
07Acceptable use
You agree not to:
- use the services for any unlawful purpose, including illegal harvesting, smuggling, or labor-law violations;
- attempt to gain unauthorized access to other customer environments or to NeuraPick infrastructure;
- introduce malware, ransomware, or any code intended to disrupt the platform;
- resell or sublicense access to the console without our written consent;
- use the platform to harass, defame, or harm any individual.
08Disclaimers
The website is provided “as is” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Specific warranties for EVE-01 hardware are set out in the Pilot Agreement.
Yield-uplift figures, pickrate statistics, and performance numbers on this website are based on supervised greenhouse trials in defined conditions. Actual results vary with crop variety, row layout, ambient temperature, lighting, and operator skill. Nothing here constitutes a guarantee of future performance in your facility.
09Limitation of liability
To the maximum extent permitted by law, NeuraPick Robotics, Inc. and its officers, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, lost yield, business interruption, or substitute-procurement costs, even if advised of the possibility. Aggregate liability arising from the website (separate from any signed agreement) is capped at USD 100.
10Indemnification
You agree to defend, indemnify, and hold harmless NeuraPick from any claim arising out of your breach of these Terms, your misuse of the platform, or your violation of any third-party right or applicable law.
11Termination
We may suspend or terminate access at any time for material breach, suspected fraud, safety incidents, or pursuant to a signed agreement. Sections that by their nature should survive termination — including Intellectual Property, Disclaimers, Limitation of Liability, and Indemnification — shall survive.
12Governing law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-laws rules. Exclusive jurisdiction and venue for any dispute lie in the state or federal courts located in Natrona County, Wyoming. The parties waive any objection to forum.
13Changes
We may update these Terms from time to time. Material changes will be announced on this page with an updated “Effective” date and, for customers, by written notice. Continued use of the services after the effective date constitutes acceptance.
